Starting Off on the Right Foot

12-24 Months Prior to the IPO 

  1. IPO readiness assessment and IPO target assessment to help identify where the company may have gaps and to establish an IPO roadmap
  2. Business planning with the various business functions, including financial planning and analysis (FP&A), accounting, finance, and human resources, to ensure the proper resources are available pre-, during, and post-IPO
  3. Engage appropriate third parties, including valuation analysts
  4. Engage appropriate tax and legal parties to optimize the implications of the post-IPO business structure
  5. Ensure current technology is appropriate for the post-IPO entity
  6. Develop or refine processes for month-end close to ensure the ability to timely close each period in order to meet financial disclosure timelines

6-12 Months Prior to the IPO

  1. Select external IPO advisors, including accountants, lawyers, investment bankers and other relevant third parties, based on your transaction
  2. Establish internal controls, internal audit function, risk management and ensure compliance with appropriate organizations
  3. Establish compliance tools to comply with correct accounting standards (US GAAP, IFRS, etc.)
  4. Identify the appropriate corporate governance structure post-IPO, including a board of directors, audit committee and senior leadership
  5. Establish management responsibilities, organizational structure, and ownership structure and control
  6. Prepare financial statements and draft S1 filing documents
